Tax Withholding

As advised to you at the time of grant, Corp operates mandatory ‘sell to cover’ to ensure all tax obligations are met. Upon allocation of the shares, Corp will sell enough shares to cover your tax liability (and social security as applicable) and remit the funds to the local tax authorities.

The highest marginal tax rate for each country will be used to determine the number of shares to be sold. The table below outlines these rates for each country. Once your actual withholding is calculated via payroll, any residual funds from the share sale above the tax liability will be paid to you via payroll in the next pay cycle. As the payment will relate to proceeds from the sale of your vested shares, it will not be treated as salary and wages.
